Cost Basis is The amount you paid for equipment, plus capitalized costs like delivery and installation, used to calculate depreciation.

Cost basis (or just “basis”) is the dollar amount you have invested in equipment for tax purposes. Cost basis is the starting point for depreciation calculations and the comparison point for calculating gain or loss on sale.

What goes into cost basis

  • Purchase price of the equipment
  • Sales tax paid at purchase (if not financed separately)
  • Delivery and freight costs to get equipment to your location
  • Installation costs (electrical, foundation, hookups for fixed equipment)
  • Training costs (when training is part of the equipment package)
  • Inspection and acceptance testing costs
  • Costs to make the equipment ready for its intended use

What does NOT go into cost basis

  • Financing costs (interest paid is deducted separately as interest expense)
  • Doc fees and origination fees (typically expensed)
  • Insurance premiums (operating expense)
  • Repairs and maintenance after placed-in-service (operating expense)
  • Routine training (operating expense)

Adjusted basis

As you take depreciation deductions, your basis decreases. The remaining “adjusted basis” is:

Adjusted basis = Original cost basis – Total depreciation taken

Example

You buy a $100,000 CNC machine. Delivery and installation $5,000. Training $2,000.

  • Cost basis: $100,000 + $5,000 + $2,000 = $107,000
  • Year 1 Section 179: $107,000 (full deduction)
  • Adjusted basis after Year 1: $0
  • If you sell for $40,000 three years later: $40,000 gain, recaptured as ordinary income

The practical importance of Cost Basis

Equipment financing terminology is mostly settled across the industry, but a handful of terms carry meaningful borrower implications that depend on context. Cost Basis is one of them.

The concept itself is consistent. The way different lenders apply it in their documents varies. The way it affects you as a borrower depends on the specific contractual language in your deal, not the general definition.

Common context where this comes up

The term shows up in three places in most equipment financing transactions. First, at the application stage, where the lender uses the concept to assess the deal. Second, in the funding documents, where it appears as a specific provision tied to the lender obligations or the borrower obligations. Third, at term end or in the event of restructure or refinance, where the term governs how the deal unwinds.

Knowing where the term shows up in your specific paperwork is the practical step that protects you. The funding documents are the source of truth: application materials and verbal conversations with the lender do not override what the signed documents say.

Misreadings to avoid

The recurring mistake on this term is borrowers acting on the general definition without checking the lender-specific implementation in their documents. The general definition is right; the implementation is where the borrower obligations actually live. Read both.

What is a UCC-1 filing?
A UCC-1 financing statement is a public record filed by the lender that establishes a security interest in the financed equipment. It is filed at the Secretary of State (or equivalent) and runs for 5 years. The UCC must be terminated when the loan is paid off, and the borrower is responsible for confirming termination.
How does Section 179 work?
Section 179 lets you deduct up to $1.16 million (2024 limit, indexed annually) of qualifying equipment in the year placed in service, rather than depreciating over 5 to 7 years. Equipment must be placed in service before December 31 of the tax year, used more than 50 percent for business, and financed through a qualifying structure (loan or EFA, not operating lease).
Do I need a personal guarantee?
Most equipment loans for small and mid-size businesses require personal guarantee from the principals. Large established businesses with strong financials sometimes get non-recourse structures. Startup and credit-challenged applications always require personal guarantee, often with spouse co-sign.
How do I know which lender program fits my situation?
The fit comes from matching credit profile (FICO + business credit), time in business, equipment type, structure preference (loan vs lease), and tax position. Can I finance used equipment?
Yes. Used equipment financing is a major category, with most lenders willing to fund equipment up to 5 to 10 years old. Older equipment requires specialty programs with shorter terms and higher rates. Authorized refurbished equipment from OEM-direct programs often qualifies for new-equipment-equivalent terms.
Does a soft-pull pre-qualification affect my credit score?
No. A soft pull does not affect your credit score. The hard pull happens at final underwriting if you accept the lender match. That is the only inquiry that posts to bureaus.

How we route the decision

The financing structure that fits depends on the actual situation. Below are the most common decision branches we walk through with buyers, in plain "if X, then Y" form.

If You have access to manufacturer captive promotional financing
Then Compare carefully against bank/independent lender rates. Captive promotions sometimes look better on stated rate but include adjustments (lower discount, required service bundles) that change the net economics.
If You have existing equipment loans in good standing with this lender
Then Your application qualifies for relationship pricing. App-only programs often skip financials when you have a clean history with the lender.
If You are planning a Section 179 election close to year-end
Then Confirm placed-in-service date can be hit before December 31. Equipment ordered but not delivered/commissioned does not qualify for current-year §179, regardless of payment status.
If You are taking a Section 179 election this tax year
Then Use a loan or $1 buyout EFA. Operating lease structures do not qualify for §179 election. Confirm equipment placed in service before December 31.
If Your business operates across multiple states
Then Confirm where to file the UCC-1 (state of incorporation vs state of equipment location). Standard practice files in state of incorporation; check with counsel on edge cases.

What if something changes mid-term

Equipment loans run for 36 to 96 months. Things change. The patterns below cover the situations that come up most often during the loan term and how they typically resolve.

Borrower cash flow stress mid-term

Contact the lender BEFORE missing a payment. Most lenders work with borrowers in temporary stress through extension, deferral, or restructure. Missed payments without contact trigger default mechanics that limit options.

Lender becomes difficult to work with

Most equipment loans are assumable or assignable with lender consent. Refinancing to a different lender is the more common path. Document the issues clearly; the situation rarely improves and the alternatives exist.

Personal guarantee called on default

Personal guarantee makes the principal personally liable for the debt if the business defaults. Working with the lender on workout or restructure is the preferable path. Personal bankruptcy is a real consequence of unresolved default with personal guarantee.

Equipment damage during the loan term

Insurance proceeds pay off the loan balance or fund replacement equipment with lender consent. The loan does not cancel automatically with the equipment loss; coordination with lender is required.
